1. Acceptance of Terms

By accessing or using this website, including https://olympusaihealth.com, and any related online services, software, applications, dashboards, AI tools, forms, workflows, communication systems, or other services provided by Olympus AI Technologies FZE (collectively, the Services), you agree to be legally bound by these Terms and Conditions. If you do not agree to these Terms and Conditions, you must discontinue use of the Services immediately. These Terms are entered into in accordance with applicable laws of the United Arab Emirates, including the UAE Civil Transactions Law, applicable commercial legislation, and applicable data protection laws.

2. Company Information and Jurisdiction

The Services are operated by Olympus AI Technologies FZE. Entity: Olympus AI Technologies FZE. Registered Office: Sharjah Research Technology and Innovation Park (SRTIP), United Arab Emirates. Jurisdiction: United Arab Emirates. Olympus AI Technologies FZE operates under the jurisdiction of the United Arab Emirates. These Terms are governed by the laws of the United Arab Emirates, and any disputes arising out of or in connection with these Terms or the Services shall be subject to the exclusive jurisdiction of the competent courts of Sharjah, United Arab Emirates, unless mandatory applicable law provides otherwise.

3. Scope of Services

Olympus AI Health provides AI-based health technology, clinic automation, patient intake, administrative workflow, communication, document collection, lab report structuring, data organization, and operational support tools for clinics, healthcare-related businesses, wellness providers, and users. The Services may include, without limitation: AI-assisted patient intake workflows; health questionnaire structuring; document and lab report upload workflows; administrative summaries for clinic teams; appointment or follow-up workflow support; communication support; clinic process automation; general wellness or health information organization; dashboards and reporting tools; AI-generated summaries based on user-provided or clinic-provided information. Olympus AI Technologies FZE may modify, suspend, restrict, replace, or discontinue any part of the Services at any time without prior notice.

4. No Medical Services

Olympus AI Technologies FZE is not a hospital, clinic, medical center, laboratory, pharmacy, telehealth provider, medical practice, healthcare provider, or licensed medical professional. The Services do not constitute medical advice, diagnosis, treatment, prescription, medical consultation, clinical decision-making, emergency medical support, psychological treatment, or any other regulated healthcare service. The Services are software and automation tools only. They are designed to support administrative, informational, organizational, and workflow-related processes. They are not intended to replace licensed doctors, healthcare professionals, laboratories, clinics, hospitals, pharmacists, therapists, or other regulated medical providers.

5. No Doctor-Patient Relationship

Use of the Services does not create a doctor-patient relationship, healthcare provider-patient relationship, therapist-patient relationship, pharmacist-patient relationship, or any other regulated medical relationship between you and Olympus AI Technologies FZE. Any medical relationship may only arise directly between a patient and a licensed healthcare provider, clinic, doctor, laboratory, hospital, or other regulated medical professional. Olympus AI Technologies FZE is not responsible for establishing, managing, supervising, or guaranteeing any such medical relationship.

6. No Medical Advice, Diagnosis, or Treatment

Any content, output, suggestion, summary, categorization, risk flag, lab report structuring, wellness-related information, or AI-generated response provided through the Services is for informational, administrative, organizational, or workflow-support purposes only. The Services do not: diagnose diseases, conditions, symptoms, deficiencies, disorders, or health risks; provide medical advice; prescribe medication, supplements, treatments, therapies, tests, procedures, or interventions; replace a consultation with a licensed medical professional; determine whether a patient is healthy or ill; confirm or exclude any medical condition; provide emergency medical advice; provide treatment plans; guarantee health improvements or medical outcomes. Users must always consult a licensed healthcare professional before making any medical, diagnostic, treatment, medication, supplement, lifestyle, or health-related decision.

7. Lab Reports and Health Data Disclaimer

The Services may assist in organizing, summarizing, formatting, or structuring lab reports, biomarkers, health questionnaires, symptoms, or other health-related information. Olympus AI Technologies FZE does not guarantee that any lab report summary, health data interpretation, biomarker explanation, risk flag, categorization, or recommendation generated by the Services is complete, accurate, current, medically correct, clinically appropriate, or suitable for any individual patient. Lab results and health information must always be reviewed, interpreted, and confirmed by a licensed healthcare professional. The Services may misunderstand uploaded documents, misread values, fail to identify relevant abnormalities, incorrectly classify results, omit important information, or generate inaccurate summaries. Users and clinics remain solely responsible for verifying all information before relying on it.

8. Emergency Disclaimer

The Services are not intended for emergencies. If you believe that you or another person may have a medical emergency, serious symptoms, acute pain, severe allergic reaction, chest pain, breathing difficulty, loss of consciousness, suicidal thoughts, stroke symptoms, severe bleeding, or any urgent medical condition, you must immediately contact emergency services or seek urgent medical care from a licensed healthcare provider. Do not rely on the Services for emergency medical assistance.

9. Clinic and Healthcare Provider Responsibilities

Clinics, healthcare providers, laboratories, wellness providers, and business users using the Services remain solely responsible for: reviewing all AI-generated outputs; ensuring clinical accuracy; obtaining patient consent where required; complying with applicable healthcare regulations; complying with professional licensing requirements; complying with data protection and patient confidentiality obligations; verifying patient information; reviewing lab reports and medical records; making all medical, diagnostic, therapeutic, and clinical decisions independently; ensuring that only licensed professionals provide regulated healthcare services; ensuring that the Services are not used beyond their lawful and intended purpose. Olympus AI Technologies FZE does not supervise or control the medical decisions, professional judgment, conduct, compliance, or patient communication of any clinic, doctor, healthcare provider, laboratory, wellness provider, or other third party.

10. AI Limitations

The Services use artificial intelligence and automated systems. AI-generated outputs may be incomplete, inaccurate, outdated, inconsistent, misleading, or inappropriate for a specific user, patient, clinic, or medical context. AI systems may: misunderstand user input; misread uploaded files; fail to detect important medical information; incorrectly summarize information; produce outdated or incomplete explanations; generate incorrect classifications; produce outputs that sound confident but are wrong; fail to reflect the user's full medical history or clinical context. Users, clinics, and healthcare providers must not rely solely on AI-generated outputs for medical, legal, clinical, financial, or operational decisions.

11. No Guarantee of Results

Olympus AI Technologies FZE does not guarantee that the Services will: improve patient outcomes; increase clinic revenue; reduce clinical risk; prevent medical errors; replace staff; eliminate administrative workload; identify every relevant health issue; correctly interpret every document or lab report; improve diagnosis or treatment; increase patient satisfaction; comply automatically with all healthcare regulations; produce error-free results. Any examples, demonstrations, projections, testimonials, case studies, or performance descriptions are illustrative only and do not guarantee future results.

12. Third-Party Information and Integrations

The Services may rely on information provided by users, patients, clinics, laboratories, third-party platforms, connected tools, uploaded documents, external systems, or publicly available sources. Olympus AI Technologies FZE does not guarantee the accuracy, completeness, legality, reliability, availability, or timeliness of third-party information. The Services may integrate with or link to third-party services, including but not limited to email providers, messaging platforms, CRM systems, laboratory systems, cloud providers, analytics providers, calendar tools, payment providers, or external websites. Olympus AI Technologies FZE is not responsible for third-party platforms, third-party data, third-party availability, third-party security, third-party privacy practices, or third-party terms.

13. User Responsibilities

Users agree to: provide accurate, complete, and lawful information; not submit false, misleading, defamatory, unlawful, or harmful content; not use the Services for emergency medical situations; not rely on the Services as a substitute for professional medical advice; not use the Services to provide unlawful medical services; not misuse AI-generated outputs; not upload data that they are not authorized to process or share; comply with all applicable laws and regulations; maintain the confidentiality of login credentials; independently verify all important information before relying on it. Users are solely responsible for all information submitted through the Services and for any decisions made based on such information.

14. Data Protection and Health Information

Personal data will be processed in accordance with applicable data protection laws, including UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data, where applicable. Health-related information may be sensitive and may require additional safeguards, consent, confidentiality, and compliance measures. By using the Services, users acknowledge that personal data and health-related information may be processed for purposes including: providing the Services; operating clinic workflows; generating summaries; organizing uploaded documents; supporting communication; improving technical functionality; security and fraud prevention; compliance with legal obligations; analytics and service improvement, where permitted. All data is stored on servers in Frankfurt am Main, Germany, unless otherwise stated in a separate agreement, privacy policy, data processing agreement, or technical documentation. Users, clinics, and business customers are responsible for ensuring that they have all necessary rights, notices, consents, legal bases, and authorizations to upload, process, store, transfer, or share personal data and health-related information through the Services.

15. Patient Consent

Where a clinic, healthcare provider, wellness provider, laboratory, or business customer uses the Services to process patient data, that customer is responsible for obtaining all legally required patient consents, notices, authorizations, and approvals. Olympus AI Technologies FZE does not guarantee that a customer's consent forms, intake forms, privacy notices, or internal processes are legally sufficient. Customers must ensure that their use of the Services complies with applicable healthcare, privacy, data protection, professional, licensing, and confidentiality requirements.

16. Fees and Payment

All payments must be made as agreed in the relevant invoice, subscription plan, order form, service agreement, or other written agreement. All fees are exclusive of VAT unless expressly stated otherwise. Fees are non-refundable unless expressly agreed in writing or required by applicable law. Failure to pay fees may result in suspension or termination of access to the Services.

17. Intellectual Property

All intellectual property rights in the software, systems, workflows, designs, databases, AI processes, prompts, documentation, materials, content, trademarks, logos, and technology provided by Olympus AI Technologies FZE remain owned by Olympus AI Technologies FZE or its licensors. Clients and users receive only a limited, revocable, non-exclusive, non-transferable right to use the Services in accordance with these Terms or any applicable agreement. Users may not copy, reproduce, modify, distribute, resell, lease, sublicense, reverse engineer, scrape, extract, or create derivative works from the Services without prior written permission.

18. Confidentiality

Users and business customers may receive access to confidential information, including software functionality, workflows, pricing, technical documentation, business processes, AI prompts, system design, or other non-public information. Such information must be kept confidential and may not be disclosed, copied, used, or shared except as permitted in writing by Olympus AI Technologies FZE.

19. Acceptable Use

Users must not use the Services to: violate any applicable law or regulation; provide unauthorized medical services; impersonate a doctor, clinic, patient, or other person; upload unlawful, misleading, or harmful content; process personal data without proper authority; interfere with the security or operation of the Services; attempt unauthorized access; upload malware or harmful code; scrape, harvest, or extract data without permission; use the Services for spam, harassment, or abuse; misrepresent AI-generated content as verified medical advice. Olympus AI Technologies FZE may suspend or terminate access if it reasonably believes that a user has violated these Terms or created legal, technical, operational, reputational, or security risk.

20. Service Availability

The Services may be unavailable, interrupted, delayed, inaccurate, or affected by maintenance, technical failures, third-party service outages, AI provider issues, internet disruptions, cybersecurity incidents, or other circumstances. Olympus AI Technologies FZE does not guarantee uninterrupted, secure, error-free, or continuous availability of the Services. We may modify, suspend, restrict, or discontinue any part of the Services without liability.

21. Limitation of Liability

To the maximum extent permitted under applicable UAE law, Olympus AI Technologies FZE, its owners, directors, officers, employees, contractors, affiliates, service providers, and partners shall not be liable for any indirect, incidental, special, consequential, punitive, exemplary, or loss-of-profit damages arising out of or in connection with the Services. This includes, without limitation, damages arising from: reliance on AI-generated outputs; inaccurate or incomplete health summaries; incorrect lab report structuring; missed or misunderstood health information; user or clinic failure to verify information; medical decisions made by users, clinics, or healthcare providers; failure to obtain medical advice; third-party healthcare services; data submitted by users or third parties; service interruptions; data loss; unauthorized access; third-party integrations; regulatory non-compliance by users or clinics. To the extent permitted by law, the total aggregate liability of Olympus AI Technologies FZE for any claim arising out of or in connection with the Services shall be limited to the amount paid by the relevant user or client for the Services in the twelve (12) months preceding the event giving rise to the claim. Nothing in these Terms excludes liability where such exclusion is not permitted by applicable law.

22. Indemnity

You agree to indemnify and hold harmless Olympus AI Technologies FZE, its owners, directors, officers, employees, contractors, affiliates, service providers, and partners from and against any claims, damages, losses, liabilities, penalties, costs, or expenses arising out of or in connection with: your use of the Services; your breach of these Terms; your submission of false, unlawful, unauthorized, or misleading information; your processing of patient data without proper authority or consent; your reliance on AI-generated outputs; your provision of healthcare services; your violation of applicable laws, regulations, licensing rules, or third-party rights; any dispute between you and a patient, clinic, doctor, laboratory, healthcare provider, or third party.

23. Privacy Policy

Your use of the Services is also governed by our Privacy Policy. Please review the Privacy Policy to understand how personal data is collected, used, stored, protected, transferred, and shared. If there is a conflict between these Terms and the Privacy Policy regarding data protection matters, the Privacy Policy shall prevail to the extent of that conflict.

24. Modifications to Terms

Olympus AI Technologies FZE reserves the right to modify these Terms and Conditions at any time. Changes will become effective when posted on the website unless a later effective date is stated. Continued use of the Services after updated Terms are posted constitutes acceptance of the updated Terms.

25. Termination

Olympus AI Technologies FZE may suspend, restrict, or terminate access to the Services immediately, without prior notice, if it reasonably believes that: you have violated these Terms; you have misused the Services; continued access creates legal, regulatory, technical, security, operational, or reputational risk; payment is overdue; termination is required by law, regulation, authority, or third-party provider. Termination does not affect rights and obligations that accrued before termination.

26. Governing Law

These Terms are governed by and construed in accordance with the laws of the United Arab Emirates, as applicable in the Emirate of Sharjah. Any dispute arising out of or in connection with these Terms, the Services, or the website shall be subject to the exclusive jurisdiction of the competent courts of Sharjah, United Arab Emirates, unless mandatory applicable law provides otherwise.

27. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions shall remain in full force and effect. The invalid, unlawful, or unenforceable provision shall be replaced or interpreted in a manner that most closely reflects the original commercial and legal intent, to the maximum extent permitted by law.

28. Entire Agreement

These Terms, together with the Privacy Policy and any applicable order form, invoice, subscription terms, data processing agreement, or service agreement, constitute the entire agreement between the user and Olympus AI Technologies FZE regarding the Services.
